Shizen Energy Group’s Strategic Reorganization and Reveal of Two Group Company Names

Shizen Energy Group has reorganized its group structure in order to enhance the group’s value chain across development, EPC, and operation & management of renewable energy power plants. This strategic reorganization maximizes the group’s synergies and will lead to an expansion of its renewable energy pipeline. In addition, two group companies have new company names in connection with this reorganization.

On March 13, 2024, Shizen Energy Inc. (Shizen Energy) concluded a share transfer agreement with JUWI GmbH (JUWI) of Germany, under which JUWI transferred all shares of juwi Shizen Energy Inc. and JUWI Shizen Energy Operation Inc. to Shizen Energy*1.  The decision to acquire JUWI’s shares stems from the company’s commitment to building a more agile, flexible and robust organization capable of driving business operations at a faster pace, which is critical to achieving a decarbonized society.

The specific strategic reorganization carried out in accordance with this decision is as follows;

Integration and enhancement of engineering functions

  • As of July 19, 2024, juwi Shizen Energy Inc., responsible for the EPC business, has changed its trade name to Shizen Engineering Inc. (Shizen Engineering) 
  • Engineering functions of Shizen Energy have been integrated into Shizen Engineering

Integration and enhancement of power plant management functions

  • As of August 29, 2024, JUWI Shizen Energy Operations Inc., responsible for the O&M business, has changed its trade name to Shizen Operations Inc. (Shizen Operations) 
  • The following two agreements were concluded on August 29, 2024 to integrate the asset management division within the Shizen Energy Group into Shizen Operations Inc. The effective date of both agreements is scheduled for November 1, 2024.
    • An absorption-type company split agreement under which Shizen Operations will succeed all rights and obligations of the Asset Management Department of Shizen Energy
    • An absorption-type merger agreement under which Shizen Operations will succeed all the rights and obligations of Shizen Energy Asset Management Inc.

Through this strategic reorganization, Shizen Energy Group will promote efficiency and streamline operations in the construction and operation of solar power plants. By providing value such as reducing construction time and cost, the company will further support customers’ transition to renewable energy and strive to realize its Purpose.
